Terms of Trade

1. Scope
These Terms of Trade apply to all sales of IT products and hardware by DDG Technology (“DDG”, “we”, “our”, or “us”) to the customer (“you” or “your”). By placing an order or accepting a quotation, you agree to be bound by these terms.

2. Quotations and Pricing
All quotations are valid until the expiry date stated on the quotation, unless otherwise withdrawn earlier by DDG. Prices are exclusive of GST and freight unless stated otherwise.
Prices are subject to change if supplier costs or exchange rates vary after the date of quotation.
DDG reserves the right to correct any genuine errors or omissions in quotations or invoices.

3. Orders and Delivery
Orders are subject to acceptance by DDG and supplier availability.
Delivery times are estimates only. DDG will use reasonable efforts to meet estimated delivery dates but is not liable for delays beyond its control.
Risk in the goods passes to you upon delivery to your nominated address.

4. Payment Terms
Payment is due within 14 days from the date of invoice, unless otherwise agreed in writing.
DDG reserves the right to suspend or withhold future supply where accounts are overdue.
Interest may be charged on overdue amounts at DDG’s prevailing rate for late payments.

5. Warranties
All goods are supplied with the manufacturer’s warranty only.
DDG does not provide any additional or implied warranties and is not responsible for any claim beyond the scope of the manufacturer’s warranty.

6. Software and Licensing
Where goods include or enable software or services, you are bound by the End User Licence Agreement (EULA) or other terms of the relevant vendor (for example, Broadcom, Microsoft, etc). It is your responsibility to review and comply with those terms.

7. Liability
To the extent permitted by law, DDG’s total liability for any claim relating to the supply of goods is limited to the amount paid for those goods.
DDG is not liable for any indirect, consequential, or special loss, including loss of profit, data, or business opportunity.

8. Governing Law
These Terms of Trade are governed by the laws of Victoria, Australia. Any dispute arising in connection with these terms will be subject to the exclusive jurisdiction of the courts of Victoria.
